The Service is provided by Smart Business Reply. You are contracting with Smart Business Reply. If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation; if you use it as an individual, you confirm you are of legal age in your country.

Smart Business Reply is a subscription software service that provides small businesses with an AI assistant which answers customer messages from a knowledge base you supply, captures leads, can request appointment bookings, and presents conversations and analytics in a dashboard.

You must provide accurate registration information and keep it up to date. You are responsible for keeping your credentials confidential and for all activity that occurs under your account.

We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected. You may not reverse engineer the Service, resell or redistribute it, or circumvent technical or usage limits (including message quotas).

You must not misuse the Service. In particular, you must not:

• use the Service for any unlawful purpose or in breach of applicable law;
• use it for fraud, spam, or unsolicited bulk messaging;
• infringe the intellectual property or privacy rights of others;
• interfere with the security or integrity of the Service, including introducing malware, probing or scanning our systems, or scraping data.

The Service uses generative AI. You are responsible for the content you submit (including your business knowledge base and customer messages you route through the Service), for having the rights to that content, for how you use the outputs, and for verifying their accuracy before relying on or sending them.

You must not use the Service to generate illegal content, deepfakes or impersonation, hate speech or harassment, malware, or to attempt to jailbreak or bypass safety controls.

As between you and us, you retain rights in the content you submit, and subject to your compliance with these Terms you own the outputs generated for you. You grant us a limited licence to host and process your content solely to provide the Service.

Outputs may be inaccurate, incomplete or unsuitable for a given situation, and must not be relied on as legal, financial, medical or other regulated professional advice without qualified human review.

We may moderate content: we may filter or refuse outputs, remove or restrict content, and suspend accounts. If you believe content generated or hosted through the Service infringes your rights, contact us at support@voice-defense-hub.lovable.app and we will review and act on valid notices; repeat infringers will lose access.

We retain all ownership of the Service and all intellectual property in it, including the software, documentation, design and branding. Nothing in these Terms transfers that ownership to you.

We work to keep the Service available, but we do not guarantee uninterrupted or error-free performance. The Service may be unavailable during maintenance, or because of failures in third-party providers such as AI model, messaging or calendar providers.

Subscriptions are sold on a paid trial, monthly or annual basis, and renew automatically until cancelled. Payment, billing, currency, taxes, invoicing, cancellation and refund mechanics are handled by Paddle and are governed by the Paddle Checkout Buyer Terms. Our Refund & Cancellation Policy also applies.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

We may suspend or terminate your access if you materially breach these Terms, fail to pay, present a security or fraud risk, or repeatedly or seriously violate our acceptable use rules. You may cancel your subscription at any time.

On termination your access ends. You may export your conversations and leads from the dashboard before cancelling; we may delete your data after the retention period described in our Privacy Policy.

To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

We are not liable for indirect, consequential or special damages, including loss of profits, data, business or goodwill. Our aggregate liability is limited to the fees you paid in the 12 months before the claim. Nothing limits liability for fraud, death or personal injury caused by negligence, or anything else that cannot be limited by law.

You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. If any provision is unenforceable, the rest remains in effect.

These Terms are governed by the laws of the jurisdiction in which Smart Business Reply is established, and the courts of that jurisdiction have exclusive jurisdiction over disputes.
